Since none of the friends like Charn, thus, there can be situations of conflicts and cn hamper the partnership, thus, it is advisable to form a company to avoid any kind of conflicts. As per the facts, Rohit (software engineering) has developed the software of the application; Ariel (nursing student) has supplied medical information; Charn (accounting student) and can deals with business risks; Levi can deal with legal issues. So since all the friends are not experts but still studying their respective fields, hence, there will be less professionalism and they have to hire experts which will raise their expenses. If a company is formulated then their liability will be limited in nature and thus will not have to face financial burden in future. Since all the finances will be raised by the friends thus any financial burden will not be imposed upon them personally and it is the company who will be the ultimate sufferer; If the friends decides to take financial help from the father of Charn, who is an illegal drug dealer, then, if a partnership is formed then, there is no concept of separate legal entity, thus, any legal consequences will also hamper the interest if all the friends. However, if a company is formed, then there is applicability of a separate legal entity and the acts of the firm will not impose any liability upon the members of the company, thus, all the friends can protect their interest. The dissolution of a company is very difficult. Thus, even if conflict arises, then it is not easy for the friends to dissolve the combat thereby will protect the investors in the long run which will not be the case if the partnership is formed. As in the partnership the dissolution is very easy, that is, there is the dissolution of the firm when there is incoming or outgoing of the partners in the firm. If a company is formed, then there are several tax advantages that can be attained by the friend which is not present in the firm. Conclusion After evaluating all the advantages and disadvantages of both the partnership and the company form of business structures it is suggested that all the friends must carry out their business by way of a company so that the company run perpetually and their liability remains limited. So, a company must be formed by all the friends, that is, Rohit, Ariel, Charn and Levi. 2: It is now assumed that the business is set up as a partnership form of business under the Victorian partnership law. it is the Partnership Act 1958 which is governing legislation to govern the partnerships established in Victoria. However, there are three problems that are raised. The same are analyzed hereunder: a) Issue Whether there are any legal issues involved if the business is carrying out any illegal activity Law As per section 5 of the 1958 Act, in order to form a partnership, there must be two or more than two persons who intend to carry out business with a motive to share profits and losses.[14] In order to establish a partnership there must be presence of the principle if agency and just because there is presence of co-ownership will not make an association a partnership and is held in section 6 of the 158 Act.[15] Now, whenever a partnership is formed, than, as per section of the 1958 Act, every partner is liable to the acts of the other partners of the firm and vice versa. Any unauthorized action which is undertaken by the partners in the name of the firm will make the firm liable for the same and the partners and vice versa.[16] The law is now applied to the facts. Application Conclusion It is now submitted, that a valid partnership is established amid the partners as per section 5 of the 1587 Act. It is a settled law that selling a product that encourages people to do their own surgery is illegal. Further, the police are investigating and criminal charges are likely. Further, a number of customers who injured themselves are suing the business for negligence.It is submitted, that in a partnership, any action of a partner will make all the other partners liable for the same and the firm and vice versa. As per section 10 of the 158 act, even an unauthorized action by the partner in the name of the firm will make all the partners accountable for the same. Thus, if an illegal action is undertaken then it will make all the friends, that is, Rohit, Arial, Levi and Charn liable for the same. b) Issue Can Rohit be held liable under the law for diverting the revenues of the firm? Law As per section 11 of the Act, no partners is permitted to use the partnership funds for any personal use and if any misappropriation is done then it is the firm which should compensate the outsiders for the losses under section 15 of the Act. as per section 33 of the Act, if any advantage which is undertaken by the partner which is undue in nature then such partner must compensate the loss to the firm. Application Conclusion Now, since Rohit has built an application which automatically diverts one half of the sales revenue to him personally, then, such an action is a clear violation of section 11, 15 and 33 of the Act. Thus, Rohit must compensate the loss to the firm and cannot take any undue advantage to bring any personal gain for him. c) Issue Whether Charms father can have access to the business records and accounts? Law As per section 32 of the 1958 Act, every partner has an obligation to provide accounts and every information that impacts the partnership to the legal representatives of the partners and the partners. This obligation is compulsory and must be abide by the partners.[17] Application and conclusion Now, the father of Charn is his legal representative, thus, as per section 32 of the Act, he has the right to have access to the business records and accounts. Its All About Accuracy It’s All About Accuracy It’s All About Accuracy By Mark Nichol During my editing career, I’ve corrected some significant factual errors in manuscripts before they were published mistakes that would have compromised the authority of a book or a magazine or newspaper article, or at least embarrassed its author. (Aw, shucks, don’t mention it it’s my job.) I’ve also probably overlooked a few. And I’ve introduced some in my own writing: In one book review, I identified the author by the wrong first name. In another, I gave Canis domesticus as the scientific name for the dog. (It’s Canis familiaris, or Canis familiaris domesticus, or Canis lupus familiaris.) In a recent post, I relied on my very limited knowledge of French to address a comment to mon amis, rather than to mes amis. (My editor caught the two book-review errors, and a few of this site’s readers called me on the friendly faux pas, as some have done with other infelicities of mine.) So it is as a sympathetic peer, not as a sneering superior, that I entreat you to practice due diligence in optimizing the accuracy of your writing. Analyze Your Errors Do you consistently make the same types of errors? Misspelling of people’s names? Erroneous wording of lengthy job titles or organizational names? Math mistakes? Record and tally your errors, and resolve to triple-check every instance in your problem area(s). And don’t rely on the popular media for this information. Go to the source an individual’s or organization’s website or to a respected reference work. If you are math challenged, consult with a computationally adept ally. Keep a Checklist For every article or blog post or other piece of content you write, produce a checklist from a master template you keep on your computer or in your hard-copy files. On this list, direct yourself to check names and titles of people, names and locations of places, URLs, numbers and math, and definitions and explanations. Verify quotes, and check for spelling and grammar errors (and for spell-checking errors). When you interview or consult with someone, ask them to spell their personal information. (My surname is the least common of several variants, so I always spell it out over the phone without prompting. Many people with unusually spelled names do the same, but a surprising number don’t.) Confirm all other details and information with objective resources. Keep track of Web links and other access to information. And especially if you’re writing about recondite or controversial topics, ask people you interview to identify situations in which other writers introduced errors into their articles so that you can avoid passing fumbled facts along. Delete Your Ego How many of you have read an article about something you have inside knowledge about and noticed factual errors? I know I have. Understand that accuracy in reporting is a problem endemic to professional and amateur writing alike. But determine to be someone who does something about it. Acknowledge and correct your errors. If your sources are unreliable (facts or findings contradict the prevailing understanding) or subjective (an expert spins facts to support their viewpoint), jettison them and obtain more reliable ones. Always verify. (Follow the time-honored warning to reporters: â€Å"If your mother says she loves you, check it out.†) And cultivate your skepticism; don’t let impressive job titles or institutional names or other trappings of infallibility distract you from seeking the truth. In the year preceding the crisis, there were several indicators suggesting that the Mexican economy and peso were already under extreme pressure. The economy bubble was ballooning to burst so much so that it was simply a crisis waiting to happen. Evidences Signaling the Crisis 1.  Ã‚  Ã‚  Ã‚  Ã‚  Decreasing Current Account Deficit versus Increasing Capital Account Balance Mexico was running an increasing current account deficit from US$7.5 billion in 1990 to US$23.4 billion in 1993. This indicates an excess of private investing over private savings. However, the country was able to maintain an improving fiscal account from US$3.6 billion deficit in 1990 to US$0.7 billion surplus in 1993. The deficit in current account was financed through capital funds from abroad resulting the capital account to increase from US$8.4 billion in 1990 to US$33.8 billion in 1993. The over-dependent on foreign capital flows had made the Mexican economy very vulnerable to any sudden and major flux of this capital fund which was very much dependent on the investors? confidence level in the Mexican economy. The fact that majority of the capital funds was in the form of portfolio capital instead of foreign direct investment (FDI) had also worsen the situation. The ratio of portfolio capital to FDI had increased substantially from 1:1.3 in 1990 to 1:6.5 in 1993. Given the volatile nature, portfolio capital tends to respond with greater speed to changes in the environment. 2.  Ã‚  Ã‚  Ã‚  Ã‚  Depletion of International Reserve The central bank of Mexico has built up at high level of international reserve. The huge reserve was the result of the Mexican government?s policy of exchange intervention to prevent large fluctuation in the peso. In the beginning of 1994, the reserve amounted to US$26.4 billion but was depleted to a low US$6.7 billion in Mid Dec, flagging red light that the exchange mechanism had been pushed to the limit and the government can no longer hold on to the pegged peso to US dollar. 3.  Ã‚  Ã‚  Ã‚  Ã‚  Increasing Fed Rate but Decreasing Mexican Interest Rate Federal funds rate has risen the fifth time in 1994 on Nov 1994 and reaches 5.5%. This resulted in stronger dollar against peso as the quantity of US dollar reduced. In view of the repeated political unrests, Mr. Woo and the others should have expected this crisis. But they based their decisions on surface information and market sentiments that had over-valued the market potential. Illogical Campaigns Against Vending Machines

Vending machines are ingenious inventions that come in all sizes and shapes giving customized and quick services in efficient manner at a cheap cost. In recent times, there has been a rigorous campaign to kick soda vending machines out of schools in the US owing to the perceived problem of increment of obesity among many American children.Soda vending machines should be included in schools but in the teachers lounge because for them (teachers), are mature enough to make decisions about their health. Contained therein in this paper are arguments in favor of this proposition and misconception of the same through facts that are present and are hard to ignore.For starters, these vending machines generate a lot of income for student organizations. A survey released at Roosevelt showed that these machines raked in about $40,000 in a recent year. Elimination of the machines from schools may result in the bankruptcy of student programs that depended on revenues from the vending machines.Clos ely related to this is the fact that these machines might be supplying less than par calories but this can not possibly eliminate obesity in the American society. Vending machines might be a part of the problem, but their contribution is negligible because obesity problems start at home with unhealthy eating habits of living on fast foods only.These campaigns are about patronizing students by parents and school administration in their thinking that they know what is best for them and forgetting that these students can choose for themselves from a rich menu of drinks that is offered by these machines.These students are aware of the side effects that are associated with consumption of sodas and many parents think that the machines only sell drinks that contain over added artificial sugars. In these same machines, you get sugar free diet sodas with no calories, bottled water, juices and even milk which are as popular as any other carbonated drink.Another baseless argument for banning v ending machines in schools is to rid our schools of commercialism claiming that this is detrimental to students learning. This is a very interesting argument that borders absurdity and ridicule. US is a capitalist country and the current culture trend supports this idealism through splashing of the whole country with advertisements from our TVs in our living rooms to erection of billboards on every available space in out cities.Soda companies are not the only companies that have their advertisement in our school but we have other companies erecting their billboards in schools like Nike cloth line labels. Most of the materials that we use in classes come with signatures of the manufacturing companies which then defeat the nonsensical idea of routing commercialism from our schools.ConclusionImportant and vital concerns have been raised about the influence of unhealthy sodas in our schools which might be contributing to the glide into abyss of obesity of obesity by the American society .Sodas are healthier compared to plain water available in taps and therefore it is better to take a soda than nothing. About riding commercialism from our schools, this is an argument that neglects to address other commercialism through advertisements that surround students around school and at home.The bid to kick vending machines from our schools is a campaign that tackles real concerns about obesity and commercialism in our society but from the wrong angle. This will only result in failure of the noble cause and therefore there is no point of denying our students much needed services of the machines and also the revenues associated with them.
